1. Agreement Acceptance

ANTONELLI CONSTRUCTION CO ("Company," "we," "our," or "us") provides these Terms and Conditions to govern your access to our website and industrial building and general contracting services. By engaging our firm, authorizing construction work, or using our digital platforms, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you must not utilize our construction services. These terms constitute a legally binding agreement between you and the Company.

2. Services Description

We provide professional general contracting and construction services specializing in industrial buildings, warehouses, and new commercial construction. All contracting services, structural modifications, and ground-up builds are performed in accordance with approved architectural blueprints, local building codes, and industry standard practices. We reserve the right to decline any project that does not meet our operational capabilities or safety standards.

3. Estimates, Bids, and Change Orders

All project bids and construction estimates provided by the Company are valid for 30 days, strictly subject to the current market pricing of building materials (e.g., steel, concrete, lumber). Initial quotes are based on preliminary architectural drawings and site evaluations. Any modifications to the original scope of work requested by the Client, or necessitated by unforeseen site conditions, must be documented and approved via a formal, written Change Order before additional work proceeds.

4. Payment Requirements and Mechanic's Lien

Payments must be made in accordance with the progressive billing schedule outlined in your specific construction contract. We accept corporate checks, wire transfers, and approved commercial financing. Under Massachusetts state law, ANTONELLI CONSTRUCTION CO reserves the right to assert and file a mechanic's lien against the subject property for any unpaid labor, materials, subcontractor fees, or equipment rentals.

5. Project Scheduling and Force Majeure

While we strive to adhere to projected construction timelines, all schedules are estimated and subject to change. The Company shall not be held liable for project delays caused by factors beyond our reasonable control, including but not limited to: severe weather conditions, supply chain disruptions, material backorders, labor strikes, or delays in municipal permit issuances and inspections.

6. Site Access and Safety Compliance

The Client agrees to provide our crews, heavy equipment, and subcontractors with unrestricted access to the job site during designated working hours. The Company strictly adheres to Occupational Safety and Health Administration (OSHA) regulations. The Client and their unapproved representatives are prohibited from entering active construction zones without prior authorization and proper personal protective equipment (PPE).

7. Permitting and Zoning Approvals

Unless explicitly stated otherwise in the construction contract, ANTONELLI CONSTRUCTION CO will assist in obtaining the necessary building permits and scheduling municipal inspections required for the industrial construction project. However, the Client is ultimately responsible for ensuring the property is properly zoned for the intended industrial use and for clearing any pre-existing property violations or easements.

8. Workmanship and Materials Warranty

We guarantee our construction workmanship for a period of one (1) year from the date of substantial completion, unless otherwise specified in your contract. This warranty covers structural defects arising directly from our labor. Building materials, mechanical systems (HVAC, plumbing, electrical), and installed equipment are subject solely to the specific warranties provided by their respective manufacturers. Our warranty is voided if the structure is altered, damaged by natural disasters, or improperly maintained by the Client.

9. Liability Limitation

The Company carries comprehensive commercial general liability and workers' compensation insurance. However, we are explicitly not responsible for pre-existing environmental hazards (such as asbestos or contaminated soil) discovered during excavation, or structural deficiencies in existing adjoining buildings. To the fullest extent permitted by law, our total liability arising from any project is limited to the amount paid by the Client for those specific contracting services.

10. Mobile Communication Terms

If you voluntarily opt-in to receive text messages from us, you agree to receive automated SMS/MMS messages strictly for operational construction management, including formal bids for your approval, site inspection reminders, material delivery updates, and critical safety notifications. We do not use text messaging for marketing or promotional campaigns. Message frequency will vary based on your active project status but will not exceed 5 messages in 1 day. 11. Intellectual Property and Project Plans

All architectural designs, structural blueprints, 3D renderings, and written proposals provided by ANTONELLI CONSTRUCTION CO remain the exclusive intellectual property of the Company or its partnered architects until final payment is received. You may not reproduce, distribute, or provide our proprietary project designs to competing contractors without our express written permission.

12. Dispute Resolution and Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any legal disputes arising from our construction services or these terms must be resolved through good faith mediation. If litigation becomes necessary, both parties consent to the exclusive jurisdiction of the state courts located in Worcester County, Massachusetts.

13. Indemnification and Severability

You agree to fully indemnify and hold harmless ANTONELLI CONSTRUCTION CO, its subcontractors, and staff from any claims, damages, or liabilities arising from your failure to disclose critical property lines, underground utilities, or your violation of these Terms. If any provision of these Terms is found by a court to be unenforceable, that specific provision shall be limited to the minimum extent necessary so that the remainder of these Terms shall remain in full legal effect.
